Terms of Service

1. Acceptance of Terms

By accessing or using GottaSecond ("Service"), operated by Studio Lifesaver LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or in-app notification. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

GottaSecond is an online marketplace platform that connects photography and videography studios ("Studios") with second shooters, assistants, and other creative professionals ("Assistants"). The Service facilitates job posting, talent discovery, hiring, contract management, and payment processing.

GottaSecond is a platform provider and is not a party to the agreements between Studios and Assistants. We do not employ, supervise, or direct Assistants. Studios and Assistants are independent parties responsible for their own agreements, tax obligations, and compliance with applicable laws.

3. Eligibility and Accounts

You must be at least 18 years old and legally able to enter binding contracts to use the Service. By creating an account, you represent that:

• All information you provide is accurate, current, and complete.
• You will maintain the accuracy of your account information.
• You are responsible for safeguarding your account credentials.
• You are responsible for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain fraudulent information, or are used for unauthorized purposes.

4. User Conduct and Professional Behavior

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Post false, misleading, or fraudulent information, including fake reviews or profiles.
• Harass, abuse, or threaten other users.
• Circumvent the platform to avoid fees, including arranging off-platform payments for jobs found through GottaSecond.
• Attempt to gain unauthorized access to other accounts or our systems.
• Scrape, crawl, or use automated means to access the Service without written permission.
• Upload viruses, malware, or other harmful code.
• Interfere with or disrupt the integrity or performance of the Service.

Professional Behavior: All users are expected to conduct themselves professionally at all times when using the Service or engaging with other users. This includes maintaining courteous and respectful communication, arriving on time for scheduled engagements, completing agreed-upon work to a professional standard, providing honest and accurate information in profiles and communications, and honoring contractual commitments. Failure to adhere to professional conduct standards may result in warnings, temporary suspension, or permanent removal from the platform at our sole discretion.

5. Subscription Plans and Fees

Free Tier: Assistants may create a profile and be matched to jobs at no cost. Studios may post jobs with a per-job fee.

Pro Subscription: Paid monthly or annual subscription plans provide enhanced features including direct job browsing, priority matching, and advanced profile visibility. Subscription details and pricing are available on our Pricing page.

Billing: Subscriptions are billed in advance on a recurring basis. You authorize us to charge your payment method on file for all applicable fees. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.

Discount Codes: Promotional discount codes may be offered at our discretion. Codes are subject to expiration dates, usage limits, and other conditions specified at the time of issuance. We reserve the right to void codes obtained through unauthorized means.

6. Payments and Financial Terms

Payment processing is provided by Stripe, Inc. By using our payment features, you also agree to Stripe's Terms of Service and Privacy Policy.

GottaSecond does not store your full credit card numbers. All payment information is transmitted directly to and stored by Stripe using industry-standard encryption and PCI-DSS compliance measures.

Studios are responsible for paying Assistants the agreed-upon rates. GottaSecond may facilitate payment processing but is not responsible for disputes over payment amounts, timing, or quality of work between Studios and Assistants.

7. Tax Information and W-9 Forms

Assistants may optionally submit IRS Form W-9 or equivalent tax documentation through the platform. W-9 submission is optional and can be removed at any time through your account settings. For security purposes, W-9 documents must be uploaded as image files (JPG or PNG) only. By uploading tax documents, you acknowledge:

• You are responsible for the accuracy of all tax information provided.
• Tax documents are stored securely using encrypted cloud storage (Amazon Web Services S3) with server-side encryption (SSE-KMS) and time-limited access controls.
• GottaSecond may share tax information with Studios as necessary for tax reporting and compliance with IRS regulations.
• You are solely responsible for your own tax obligations, including income reporting and payment of applicable taxes.
• You may delete your W-9 at any time by visiting your profile settings. Upon deletion, the file will be permanently removed from our systems.

GottaSecond is not a tax advisor and does not provide tax guidance. Consult a qualified tax professional for advice on your tax obligations.

8. Contracts and E-Signatures

The Service provides electronic contract and e-signature functionality. By using these features, you consent to conducting transactions electronically in accordance with the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA).

You agree that your electronic signature has the same legal effect as a handwritten signature. GottaSecond maintains an audit trail of contract interactions for legal compliance but is not a party to contracts between Studios and Assistants.

9. Intellectual Property and Content Standards

The Service, including its design, code, logos, and content (excluding user-generated content), is owned by Studio Lifesaver LLC and protected by intellectual property laws.

By uploading content (profile photos, portfolio images, descriptions) to the Service, you grant GottaSecond a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely in connection with operating and promoting the Service. You retain all ownership rights to your content.

Prohibited Content: You may not upload, share, or display any content that contains:

• Nudity, pornography, or sexually explicit material
• Depictions of illegal activities, violence, or abuse
• Content that exploits minors in any way
• Copyrighted material without proper authorization
• Content that is defamatory, harassing, or discriminatory

We reserve the right to remove any content that violates these standards and to suspend or terminate accounts of users who repeatedly violate this policy. If you encounter prohibited content, please report it to support@gottasecond.com.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOTTASECOND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

GottaSecond does not guarantee the quality, safety, or legality of services offered by Assistants; the qualifications or identity of users; or the ability of users to complete transactions. We are not responsible for disputes between Studios and Assistants, including but not limited to issues regarding payment, quality of work, or contract fulfillment.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GOTTASECOND IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless GottaSecond, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law: These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

13. Termination

We may terminate or suspend your account at our sole discretion, without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership, warranty disclaimers, indemnity, and limitations of liability.

14. Third-Party Services

The Service integrates with and relies upon the following third-party services. By using GottaSecond, you acknowledge and agree to the terms governing these services:

• Stripe, Inc. — Payment processing. Subject to Stripe's Terms.
• Google LLC — Google Maps API and Google Calendar integration. Subject to Google's Terms.
• Twilio SendGrid — Email delivery. Subject to Twilio's Terms.
• Amazon Web Services (AWS) — File storage (S3). Subject to AWS Service Terms.
• Render — Application hosting. Subject to Render's Terms.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
